Professional Experience

Kelly Prior's practice focuses on finance, privacy, technology law, and other areas of corporate law.

She has experience negotiating, analyzing, and drafting software licensing agreements,

Software-as-a-Service ("SaaS") agreements, terms of use, privacy policies, and other online legal agreements. Kelly has assisted financial entities with licensing issues. She also has experience assisting clients with intellectual property matters, including copyright and trademark issues.

Kelly has experience in evaluating privacy and jurisdictional issues for clients responding to governmental investigations, records retention and destruction requirements, litigation hold practices, and eCommerce and EU-U.S. Privacy Shield certification and compliance.

Specifically, Kelly has experience in financial regulatory notices, including notices relating to Regulation Z. She also has experience working with financial service licensing,
Regulation B, GLBA, GDPR, CCPA, ESIGN, NACHA, state consumer credit laws and other areas of technology and privacy law.

Kelly previously practiced as an attorney in a Washington, D.C. law firm, where she negotiated and drafted contracts and handled general corporate and trademark matters for
international shipping clients.
